Special Membership Meeting

Ethical Society bylaws do not have a provision for a leaderless nor interim leader period. Board management during this unprecedented period requires a vote on two bylaws amendments. Please help our Society work by attending the 9:45 Forum on January 15 in the Hanke Room. We need an in-person quorum at this important 9:45 a.m. meeting in order to vote on these changes. The bylaws amendments are identified as follows (with new language is in italics).
Bylaws: The addition of section IV.5. (Professional Leadership) introduces the concept of a leadership change or void and speaks to how Ministry responsibilities may be redistributed as needed.
Article IV.4.5. When there is a leader vacancy or during the term of an interim leader, the Board President may, with the ratification of the Board of Trustees, take on some or all of the powers of the Ministry Team Leader. Powers may include, but are not limited to, increased oversight of financial and hiring decisions. Duties may be assigned to trustees or congregation members as needed for the welfare of the Society.
Article 6.4 Meetings. Allows for the counting of ballots to include members attending via technology.
6.4 The presence, virtually or in person, of ten percent of Active Members of the Society shall constitute a quorum at meetings of the membership. A majority vote of active members at the meeting, including those present at the physical meeting location and those attending remotely via technology, plus those voting by absentee ballot, shall be required to approve any action except where otherwise specified in these bylaws.
